Our Tax Due Diligence Services in Canada
Historical Tax Liability Review
Scope is set by the target’s open reassessment years, plus any period where a filing position could extend that window.
CRA Compliance Assessment
We evaluate the target’s CRA compliance, identify gaps that could lead to audits, and estimate the buyer’s financial risk.
Tax Risk Quantification & Exposure Report
We translate findings into a clear, actionable report that ranks risks by probability and impact, and provides the information needed to negotiate price adjustments or contractual protections.
Tax Input for Reps, Warranties & Insurance
We identify the specific tax exposures that need covering in the deal documents — which positions warrant a representation, where an indemnity is the better protection, and what an underwriter will want to see. Your legal team drafts the language and your broker places the cover; we give both the tax findings they need to do it accurately.
Post-Acquisition Tax Optimization
We identify post-acquisition restructuring opportunities that can improve the tax efficiency of the combined business and enhance long-term after-tax returns for the acquirer.
Transaction Structure Advisory
We advise on the most tax-efficient acquisition structure for your deal, whether asset or share purchase, balancing your risk tolerance with your financial objectives.

Common Tax Risks We Uncover in Canadian Business Acquisitions
Undisclosed CRA Audits & Reassessments
Active or pending CRA audits, the seller has not disclosed, representing contingent liabilities that could transfer to the buyer at closing.
Historical Filing Non-Compliance
Unfiled corporate tax returns, missed HST/GST filings, or unreported payroll obligations that could trigger CRA action against the business post-acquisition.
Incorrect Tax Positions
Aggressive or unsupported positions taken in prior years, including improper loss carryforwards or mischaracterized transactions, that increase the risk of reassessment.
Transfer Pricing Exposure
Inter-company transactions lacking proper transfer pricing documentation, creating exposure to CRA adjustments and significant penalties post-acquisition.
HST/GST Compliance Gaps
Unregistered HST/GST obligations or input tax credit claims that don't meet CRA requirements, potentially resulting in significant unremitted tax liabilities.
Structural Tax Inefficiencies
Tax-inefficient corporate structures that increase the effective cost of the acquisition and represent optimization opportunities for a well-advised buyer.

Tax due diligence is the process of independently reviewing a target company’s tax history to identify risks before a transaction closes. In Canada, tax liabilities can transfer to a buyer in share purchase transactions, meaning undiscovered CRA exposures can become the buyer’s problem post-closing. A thorough tax due diligence review gives you the information you need to negotiate confidently and avoid inheriting expensive tax problems.
In an asset purchase, the buyer acquires specific business assets and generally does not inherit the target’s historical tax liabilities. There are exceptions. Where assets are transferred between non-arm’s-length parties for less than fair market value, the Income Tax Act and the Excise Tax Act can attach the transferor’s tax debt to the purchaser. GST/HST treatment on an asset purchase also needs its own review.
The timeline depends on the target’s size, complexity, and the availability of information. A straightforward SME acquisition may take two to four weeks, while a complex multi-entity transaction may require six to eight weeks or longer. We work within your deal timeline and communicate throughout the process to ensure our findings are delivered when you need them.
Our reports include an executive summary of key findings, a detailed analysis of identified tax issues ranked by risk and financial exposure, quantified estimates of potential CRA liability, and specific recommendations for price adjustments, contractual protections, and post-acquisition optimization opportunities. Reports are written to be understood by deal teams and business principals, not just tax specialists.
Yes. We provide tax due diligence services for business acquisitions across Canada through secure virtual advisory and digital document review. Whether your target company is in Ontario, British Columbia, Alberta, Quebec, or elsewhere, our team delivers the same rigour and quality of analysis regardless of location.
The CRA’s normal reassessment period is three years for CCPCs and four for other corporations, with no limit where there has been misrepresentation. That window is what sets the scope of the review.
